ACCEPTANCE OF TERMS AND ELIGIBILITY#
1.1 Binding Agreement
By accessing, registering for, or using the Zain ERP platform (including the website www.zainerp.com, the mobile/web application at app.zainerp.com, and all related services, features, and content), you agree to be legally bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service.
1.2 Age and Authority
You represent and warrant that:
- You are at least 18 years of age (or the legal age of majority in your jurisdiction);
- You have the legal authority to enter into binding agreements on behalf of your organization or business;
- You are using the Service solely for lawful business and commercial purposes.
1.3 Business Use
Zain ERP is designed for use by businesses, enterprises, and organizations for accounting, financial management, inventory management, payroll processing, and related commercial activities. Personal or non-commercial use is not permitted.
1.4 Entity Acceptance
If you are accepting these Terms on behalf of a business, organization, or other legal entity, you represent that you have the authority to bind that entity to these Terms. In such cases, "you" and "your" shall refer to that entity.
SERVICE DESCRIPTION#
2.1 Overview
Zain ERP is a cloud-based enterprise resource planning (ERP) and accounting software-as-a-service ("SaaS") platform. The Service provides businesses with integrated tools for financial management, accounting operations, sales management, procurement, inventory management, payroll processing, fixed asset management, and cost accounting.
2.2 Subscription Tiers
Zain ERP offers three distinct subscription tiers, each billed monthly in Egyptian Pounds (EGP) unless otherwise agreed in writing:
Tier 1: Software Only
- Self-service cloud accounting and ERP platform
- Access to core modules: General Ledger & Accounting, Sales & Customer Management, Purchases & Vendor Management, Inventory Management (multi-warehouse), Payroll Processing, Fixed Assets & Depreciation, and Cost Accounting
- User/seat limits per plan (additional users available as paid add-ons)
- 24/7 technical support
- Suitable for organizations seeking an independent, self-managed solution
- Not suitable for organizations requiring white-glove accounting services or AI-driven financial intelligence
Tier 2: Full Accounting Service
- All features of Software Only tier
- Done-for-you accounting services: Zain ERP's staffed accounting team performs day-to-day accounting operations, reconciliation, reporting, and compliance support on behalf of your business
- User/seat limits per plan (additional users available as paid add-ons)
- 24/7 dedicated support
- Suitable for businesses seeking to outsource accounting operations entirely
Tier 3: AI-Powered Finance
- All features of Software Only and Full Accounting Service tiers
- AI Financial Intelligence: AI-driven analysis, financial forecasting, anomaly detection, cash flow projections, and predictive insights
- AI Finance Assistant: Conversational AI tool for financial queries and insights
- User/seat limits per plan (additional users available as paid add-ons)
- 24/7 dedicated support with AI-focused guidance
- Suitable for data-driven organizations seeking advanced financial visibility and predictive analytics
2.3 Feature Availability
Features, modules, and functionality may vary by subscription tier and are subject to change. Current plan details and feature comparisons are available on the Zain ERP website or within your account dashboard.
2.4 No Professional Advice
The outputs, reports, analysis, and recommendations provided by Zain ERP (including AI-generated insights, forecasts, and suggestions for the AI-Powered Finance tier) do not constitute professional accounting, tax, financial, or legal advice. See Section 7 below for full disclaimers.
ACCOUNT REGISTRATION, ROLES, AND SECURITY#
3.1 Account Registration
To use Zain ERP, you must create an account by providing accurate, complete, and current information (including business name, contact email, phone number, and business details). You are responsible for maintaining the accuracy of your account information.
3.2 User Roles and Responsibilities
Accounts may include multiple users assigned different roles and permission levels. Common roles include:
- Admin/Owner: Full account access, user management, billing, subscription changes, and data control
- Manager: Operational access to assigned modules and reporting functions
- Users: Standard operational access to assigned functions
The account holder (owner/administrator) is responsible for:
- Managing user access and permissions
- Ensuring users comply with these Terms
- Maintaining the confidentiality of login credentials
- Monitoring account activity and promptly reporting unauthorized access
3.3 Password Security
You are solely responsible for maintaining the confidentiality of your login credentials (username and password). You agree to:
- Use a strong, unique password
- Change your password regularly
- Never share your password with third parties
- Immediately notify Zain ERP of any unauthorized access or suspected security breach
Zain ERP will not be liable for unauthorized access if you fail to maintain password security or if you disclose your credentials to third parties.
3.4 Multiple Users and Seat Limits
Your subscription tier includes a maximum number of users/seats. Adding users beyond the included limit requires purchasing additional seat add-ons at Zain ERP's then-current pricing. You remain solely responsible for compliance with your plan's user limits.
SUBSCRIPTION, BILLING, PRICING, AND CANCELLATION#
4.1 Subscription Model
Zain ERP operates on a monthly subscription model. Your subscription renews automatically each month unless cancelled by you in accordance with Section 4.6 below.
4.2 Billing and Payment Processing
- All payments are processed through Paymob, a third-party payment processor.
- Your subscription fee (and any additional charges for add-ons, extra seats, or overages) will be charged to the payment method you designate in your account.
- Zain ERP does not directly handle, store, or process payment card data; this is managed exclusively by Paymob.
- You authorize Zain ERP and Paymob to charge your designated payment method for your subscription and any applicable add-on fees on a monthly recurring basis.
4.3 Pricing, Taxes, and Currency
- Prices are displayed in Egyptian Pounds (EGP) on the website and in your account.
- Prices are subject to change upon 30 days' written notice. Price increases will not apply retroactively to your current billing cycle; they take effect on your next renewal date.
- You are responsible for any applicable taxes, value-added tax (VAT), or other government levies on your subscription charges (unless Zain ERP is required by law to collect and remit such taxes, in which case they will be added to your invoice).
4.4 Free Trial
Zain ERP offers a 30-day free trial for new accounts, subject to the following:
- The free trial provides full access to your selected subscription tier for 30 consecutive days from account activation.
- At the end of the trial period, your account will automatically convert to a paid subscription, and your credit card will be charged for your first paid month.
- You may cancel during the free trial period at no cost; cancellation after the trial ends is subject to Section 4.6.
- Free trial accounts do not extend to multiple registrations or secondary accounts; duplicate or fraudulent trial registrations may be terminated immediately.
4.5 Add-Ons and Overages
- Additional users beyond your plan's included seat limit may be purchased as add-ons at Zain ERP's then-current per-user pricing.
- Any other overages or additional services (if applicable) will be invoiced separately and charged to your payment method.
- You will receive notice of any material add-on charges before they are processed.
4.6 Cancellation
You may cancel your Zain ERP subscription at any time by: 1. Logging into your account and submitting a cancellation request through the account settings; or 2. Contacting Zain ERP support at info@daftarzain.com with a written cancellation request
Effective cancellation date: Your subscription will be cancelled at the end of your current billing cycle. You will not be charged for the subsequent billing cycle.
Example: If your billing cycle renews on the 15th of each month and you request cancellation on the 10th, your subscription will remain active through the 14th, and you will not be charged on the 15th.
4.7 No Refund for Unused Service
Subscriptions are not refundable. Once you have been charged for a billing cycle, no pro-rata refunds will be issued for partial months or unused portions of the subscription, except as required by applicable law or as specified in Paymob's refund policy (see Section 5 below).
REFUNDS AND PAYMENT DISPUTES#
5.1 Paymob Refund Policy Governs
All payments for Zain ERP subscriptions are processed and managed through Paymob. Once your payment has been processed and charged to your account, Zain ERP is not responsible for processing, approving, or denying refund requests. Refund eligibility, timelines, procedures, and conditions are entirely governed by Paymob's refund and chargeback policy, not by Zain ERP.
5.2 Initiating a Refund Request
If you believe you are entitled to a refund for charges made after your subscription commenced, you must: 1. Contact Paymob directly through Paymob's customer support portal or website (paymob.com); 2. Provide Paymob with your transaction ID, invoice details, and reason for the refund request; 3. Paymob will review your request in accordance with its refund policy and will contact you regarding eligibility and next steps.
Zain ERP will cooperate with Paymob's refund investigation if requested, but Zain ERP makes no independent assessment of refund eligibility.
5.3 Chargeback and Dispute Rights
If you dispute a charge with your payment provider (bank or credit card company), you may initiate a chargeback process directly with your financial institution. However, such disputes are subject to the terms and conditions of your financial institution and Paymob's chargeback and dispute resolution policies.
5.4 Billing Errors
If you believe there has been a billing error (e.g., you were charged twice for a single month, or charged an incorrect amount), please contact Zain ERP support at info@daftarzain.com with details of the error within 30 days of the charge. Zain ERP will investigate and work with Paymob to correct documented billing errors. Investigation and resolution of such errors may take 30–60 days.
DATA OWNERSHIP, CONFIDENTIALITY, AND DATA HANDLING#
6.1 Customer Data Ownership
You retain full ownership of all data, records, and information you input into or store within Zain ERP, including:
- Financial transactions, ledger entries, and accounting records
- Customer and vendor information
- Inventory and asset records
- Payroll and employee data
- Any other business information or content ("Customer Data")
6.2 License to Zain ERP
By uploading Customer Data to Zain ERP, you grant Zain ERP a worldwide, non-exclusive, royalty-free license to:
- Store, process, and maintain Customer Data for the purposes of providing the Service
- Create backup copies for disaster recovery and business continuity
- Analyze usage patterns (in aggregated, anonymized form) to improve the Service
This license expires upon account termination and deletion of your data (see Section 12 below).
6.3 Confidentiality
Zain ERP maintains technical and organizational safeguards to protect Customer Data from unauthorized access, loss, alteration, and disclosure. However, given the sensitive nature of financial and payroll data stored on the platform, you should:
- Implement strong password policies and access controls
- Monitor user access and permissions regularly
- Encrypt sensitive documents stored outside the platform
- Maintain your own backups of critical records
6.4 Privacy and Data Protection

By using Zain ERP, you consent to the data practices described in the Privacy Policy.
6.5 Regulatory Compliance
You are responsible for ensuring that your use of Zain ERP complies with all applicable laws and regulations in your jurisdiction, including data protection laws, financial regulations, payroll reporting requirements, and tax compliance obligations. Zain ERP does not provide legal or compliance advice.
DISCLAIMER: ACCOUNTING, TAX, FINANCIAL, AND LEGAL SERVICES#
7.1 Software Only Tier — No Professional Advice
The Software Only tier provides a self-service accounting and ERP software platform. Zain ERP does not provide, and the Software Only tier does not include, professional accounting, tax, financial planning, or legal advice. You are responsible for:
- Ensuring accurate data entry and reconciliation
- Maintaining compliance with applicable accounting standards and tax regulations
- Consulting qualified accountants, tax advisors, or attorneys for professional guidance
7.2 Full Accounting Service Tier — Scope and Limitations
The Full Accounting Service tier includes accounting operations performed by Zain ERP's accounting team. However:
- These services are provided as bookkeeping and administrative support, not as professional accounting or tax advisory services
- The accounting team assists with transaction recording, reconciliation, and routine reporting based on your business data and instructions
- Zain ERP's accounting team does not provide tax advice, tax planning, audit services, or financial advisory services
- You remain responsible for all tax filings, compliance obligations, and strategic financial decisions
- We recommend engaging a qualified CPA or tax advisor for:
- Tax strategy and tax return preparation
- Audit or review engagements
- Complex accounting matters
- Regulatory compliance and financial reporting standards
7.3 AI-Powered Finance Tier — AI Outputs Are Not Professional Advice
The AI-Powered Finance tier includes AI-generated financial analysis, forecasting, anomaly detection, and insights. You must understand and agree that:
- AI outputs (including forecasts, anomalies, recommendations, and analysis) are not professional financial, accounting, tax, or legal advice.
- AI-generated insights are based on historical data and algorithmic patterns; they do not account for external market events, regulatory changes, or business-specific circumstances.
- You should not rely solely on AI analysis for major financial decisions, strategic planning, tax planning, or compliance matters.
- You remain responsible for validating AI-generated reports, exercising independent judgment, and consulting qualified professionals before making material business decisions.
- AI anomaly detection and alerts are designed to flag unusual patterns; they should be investigated and verified through traditional accounting methods.
- Forecasts are probabilistic and subject to significant error, especially for volatile business environments.
You assume all risk associated with reliance on AI-generated content.
7.4 Professional Advisors Required
Regardless of your subscription tier, you are strongly encouraged to engage qualified professionals (accountants, auditors, tax advisors, attorneys) for:
- Tax return preparation and filing
- Audit or review engagements
- Internal control assessment
- Strategic financial and business planning
- Regulatory compliance
- Legal matters and corporate governance
7.5 Accuracy and Completeness of Customer Data
Zain ERP's outputs and reports are only as accurate as the data you input. Zain ERP is not responsible for errors in Customer Data, incomplete information, or inaccurate reports resulting from incorrect or incomplete input.
ACCEPTABLE USE POLICY AND PROHIBITED CONDUCT#
8.1 Permitted Use
You agree to use Zain ERP solely for lawful business purposes in compliance with these Terms, all applicable laws, and all regulations in your jurisdiction.
8.2 Prohibited Conduct
You agree not to:
Illegal Activity:
- Use Zain ERP for any illegal purpose, including money laundering, fraud, sanctions evasion, or financing of terrorism
- Upload or transmit content that is illegal in your jurisdiction
- Use the Service to facilitate criminal activity
Misuse and Unauthorized Access:
- Attempt to gain unauthorized access to the Service, Zain ERP's systems, or other users' accounts
- Use automated tools (bots, scrapers, or other mechanisms) to access, monitor, or copy content without authorization
- Reverse-engineer, decompile, or attempt to discover the underlying code or algorithms of Zain ERP
- Attempt to circumvent security measures or access controls
- Share your login credentials with unauthorized parties
Data Misuse:
- Use Customer Data of other users or businesses without authorization
- Disclose or transmit other users' sensitive financial or payroll data
- Export or transfer data in violation of privacy laws or contractual obligations to third parties
System Abuse:
- Overwhelm or "flood" the Service with requests (denial-of-service attacks)
- Introduce malware, viruses, or harmful code
- Interfere with the normal operation or performance of the Service
Content Violations:
- Upload or transmit obscene, defamatory, harassing, or threatening content
- Use the Service to harass, stalk, threaten, or discriminate against any individual or group
- Transmit content that infringes third-party intellectual property rights
Competitive Harm:
- Use Zain ERP to develop a competing product or service
- Monitor or analyze Zain ERP's functionality, performance, or availability for competitive purposes
8.3 Consequences of Prohibited Conduct
If you violate any provision of this Acceptable Use Policy, Zain ERP may, at its sole discretion:
- Suspend or terminate your account immediately
- Restrict or block access to specific features
- Retain and cooperate with law enforcement regarding illegal activity
- Pursue legal remedies
INTELLECTUAL PROPERTY RIGHTS#
9.1 Zain ERP Intellectual Property
Zain ERP retains all right, title, and interest in:
- The Zain ERP platform, website, software, code, algorithms, and features
- All documentation, training materials, reports templates, and user guides
- All trademarks, logos, brand names, and visual design elements
- All improvements, updates, and derivative works of the Service
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use Zain ERP solely for the purposes permitted under these Terms and your subscription. This license does not grant you any ownership interest in Zain ERP or its intellectual property.
9.2 Restrictions on Intellectual Property
You agree not to:
- Reproduce, distribute, or publicly display Zain ERP's code, design, or features
- Create derivative works based on Zain ERP's intellectual property
- Use Zain ERP's trademarks or branding without express written permission
- Claim ownership of or attempt to patent Zain ERP's intellectual property
9.3 Customer Data and Feedback
You retain all intellectual property rights in Customer Data you create or upload. However, any feedback, suggestions, or feature requests you provide to Zain ERP may be used by Zain ERP to improve the Service without compensation or attribution to you.
9.4 Third-Party Integrations
Zain ERP may integrate with or link to third-party services and APIs (e.g., payment processors, cloud storage). Such third-party services are governed by their own terms and intellectual property policies. Zain ERP is not responsible for third-party intellectual property or compliance.
SERVICE AVAILABILITY, SUPPORT, MAINTENANCE, AND MODIFICATIONS#
10.1 Service Availability and Uptime
Zain ERP aims to maintain continuous platform availability. However:
- The Service may occasionally be unavailable due to scheduled maintenance, emergency repairs, or circumstances beyond Zain ERP's reasonable control.
- Zain ERP does not guarantee uninterrupted service or 100% uptime.
- Zain ERP targets 99% average monthly uptime but does not warrant this level as a service level agreement (SLA) or provide compensation for downtime.
10.1a Payment Processing Compliance and Security
All payment processing through Zain ERP is handled by our third-party payment processor, Paymob, and complies with:
- PCI DSS (Payment Card Industry Data Security Standard) Level 1 certification
- International payment security standards and regulations
- Anti-money laundering (AML) and know-your-customer (KYC) requirements
- Egyptian financial regulations and banking standards
- GDPR and international data protection laws (where applicable)
Security Commitments:
- Zain ERP does not directly store, process, or access raw payment card data
- All payment card information is encrypted and processed exclusively by Paymob
- Only transaction confirmations and non-sensitive billing information is shared with Zain ERP
- Payment processing is subject to Paymob's security standards and privacy practices
- Users should review Paymob's privacy policy for payment-specific data handling
Compliance Verification:
- Zain ERP maintains documentation of security practices and compliance certifications
- Regular security audits and vulnerability assessments are conducted
- Incident response procedures are in place for data breaches or security events
- Compliance is maintained with evolving payment industry standards
10.2 Scheduled Maintenance
Zain ERP may perform scheduled maintenance (including updates, patches, and improvements) with reasonable advance notice (typically 24–72 hours). Maintenance windows will generally occur during off-peak hours to minimize service disruption.
10.3 Emergency Maintenance
Zain ERP may perform emergency maintenance without advance notice to address security vulnerabilities, critical system failures, or data protection issues. Zain ERP will notify you of emergency maintenance as soon as practicable.
10.4 Support Services
Zain ERP provides 24/7 technical support to assist with:
- Setup and account configuration
- Technical troubleshooting
- Feature guidance and best practices
- Billing and subscription inquiries

Support is provided on a best-efforts basis. Zain ERP will respond to support requests within 24 hours but does not guarantee resolution times for all issues.
10.5 Service Modifications
Zain ERP reserves the right to:
- Add, modify, or discontinue features or functionality
- Change the user interface or user experience
- Deprecate or sunset modules or services
- Integrate third-party services or APIs
- Modify pricing tiers or feature sets
Zain ERP will provide 30 days' advance notice for material changes (such as removal of core features or significant price increases). Minor updates, bug fixes, and feature improvements may be deployed without notice.
10.6 No Obligation to Develop Features
Zain ERP is not obligated to develop, release, or implement any specific feature, even if requested by multiple users. Feature requests are evaluated at Zain ERP's sole discretion.
LIMITATION OF LIABILITY AND DISCLAIMER OF WARRANTIES#
11.1 Disclaimer of Warranties
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, ZAIN ERP PROVIDES THE SERVICE "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES, EXPRESS OR IMPLIED, OF ANY KIND, INCLUDING:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR TITLE
- WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR HARMFUL CODE
- WARRANTIES THAT DATA STORED ON THE SERVICE WILL NOT BE LOST, ALTERED, OR CORRUPTED
- WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR TIMELINESS OF REPORTS, ANALYSES, OR AI-GENERATED CONTENT
Zain ERP does not warrant that the Service will meet your specific business requirements or that outputs (especially from the AI-Powered Finance tier) will be accurate or suitable for decision-making without independent verification.
11.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZAIN ERP SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING:
- Lost profits or revenue
- Loss of business opportunity, goodwill, or reputation
- Loss of data or corruption of data
- Business interruption or operational disruption
- Cost of substitute services or systems
- Any damages arising from your reliance on AI-generated content, reports, or recommendations
This limitation applies regardless of the cause of the damages (whether based on contract, negligence, strict liability, tort, or any other legal theory) and even if Zain ERP has been advised of the possibility of such damages.
11.3 Cap on Liability
Except for claims arising from your infringement of Zain ERP's intellectual property rights or gross negligence, Zain ERP's total aggregate liability to you for any and all claims arising from these Terms or your use of the Service shall not exceed the total amount you paid to Zain ERP in the 12 months immediately preceding the claim.
If you have not made any payments (e.g., you are on a free trial), Zain ERP's liability shall not exceed $100 USD (or equivalent in your local currency).
11.4 Essential Terms
You acknowledge that the limitations of liability in this Section are essential terms of these Terms and that Zain ERP would not provide the Service at the current pricing without these limitations.
11.5 Jurisdictional Exceptions
Some jurisdictions do not allow the exclusion or limitation of incidental, consequential, or punitive damages. If such a jurisdiction applies to you, the above limitations may not apply to the extent prohibited by local law, but Zain ERP's liability will be limited to the maximum extent allowed by law.
DATA RETENTION AND DELETION UPON ACCOUNT TERMINATION#
12.1 Data Storage During Active Subscription
While your subscription is active, Zain ERP will store and maintain your Customer Data in accordance with the terms of this agreement and our Privacy Policy.
12.2 Grace Period After Cancellation
Upon cancellation of your subscription:
- Your account will remain accessible for a grace period of 30 days (the "Grace Period"), during which you may export or retrieve your Customer Data.
- After the Grace Period expires, Zain ERP will have no obligation to maintain your data.
12.3 Data Deletion
Following the Grace Period, Zain ERP will:
- Delete or destroy all Customer Data within 60 days of the end of the Grace Period
- Permanently remove all backups containing your data
- Cease all processing of your data except as required by law
Zain ERP may retain anonymized or aggregated data that cannot identify your business or individuals for analytical and service improvement purposes.
12.4 No Data Recovery After Deletion
Once Customer Data has been deleted, Zain ERP cannot recover or restore it. You are responsible for maintaining your own backups of all critical records before cancelling your subscription.
12.5 Legal Holds and Regulatory Obligations
Notwithstanding the above, Zain ERP may retain Customer Data for longer periods if required by law, regulation, or legal process (e.g., court order, tax audit, regulatory investigation).
TERMINATION RIGHTS#
13.1 Termination by You
You may terminate your subscription at any time by submitting a cancellation request through your account or contacting info@daftarzain.com. Your termination will be effective at the end of your current billing cycle (no pro-rata refunds for partial months).
13.2 Termination by Zain ERP
Zain ERP may terminate or suspend your account, effective immediately, if:
For Cause (without notice):
- You violate the Acceptable Use Policy (Section 8)
- You engage in illegal activity or use Zain ERP to facilitate unlawful conduct
- You infringe Zain ERP's intellectual property rights
- You repeatedly violate these Terms despite written notice
- There is reason to believe your account poses a security risk to Zain ERP or other users
- You fail to pay invoices and remain in breach 15 days after receiving written notice
For Convenience (with notice):
- Zain ERP may terminate your account for any reason upon 30 days' written notice
13.3 Effect of Termination
Upon termination:
- Your right to access and use the Service immediately ceases
- You remain liable for all charges incurred up to the effective date of termination
- The Grace Period and data deletion provisions (Section 12) apply
- Zain ERP's disclaimers, limitations of liability, and confidentiality obligations survive termination
13.4 Survival

GOVERNING LAW AND DISPUTE RESOLUTION#
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, without regard to conflicts of law principles. The legal framework for this agreement is Egyptian law, including the Egyptian Civil Code and relevant commercial and technology legislation.
14.2 Jurisdiction and Venue
You irrevocably consent to the exclusive jurisdiction of the courts of Cairo, Egypt for any dispute, claim, or legal proceeding arising from these Terms or your use of Zain ERP. You waive any objection to venue in these courts and any claim of inconvenient forum.
14.3 Dispute Resolution Process
Before initiating formal litigation, you agree to attempt to resolve disputes through the following process:
Step 1: Good Faith Negotiation (30 days)
- Contact Zain ERP at info@daftarzain.com or the address in Section 16 with a detailed written description of the dispute
- Both parties agree to negotiate in good faith for a period of 30 days to reach a mutually acceptable resolution
- During this period, neither party may initiate formal legal proceedings
Step 2: Escalation to Management (30 days)
- If the dispute is not resolved within 30 days, you may submit a formal written complaint to Zain ERP's management
- Zain ERP will review and respond to your complaint within 30 days
- Management will make a good-faith effort to resolve the matter
Step 3: Litigation
- If the dispute remains unresolved after 60 days, either party may pursue legal remedies in the courts of Cairo, Egypt
14.4 Class Action Waiver
You agree that any dispute with Zain ERP will be resolved on an individual basis. You waive your right to participate in class action lawsuits, class action arbitrations, or representative actions against Zain ERP. This means:
- You cannot pursue a claim on behalf of a class of users
- You cannot combine your claim with claims of other users
- Any proceedings must address your individual claim only
14.5 Attorneys' Fees
Except as required by Egyptian law, each party shall bear its own attorneys' fees and costs. However, if you initiate litigation and Zain ERP prevails, Zain ERP may recover reasonable attorneys' fees and costs from you under Egyptian law.
14.6 Equitable Relief
You acknowledge that monetary damages may be an inadequate remedy for breaches of these Terms (particularly regarding intellectual property infringement or confidentiality violations). Accordingly, Zain ERP is entitled to seek injunctive relief and specific performance in addition to other available remedies.
CHANGES TO THESE TERMS AND NOTICE PROCEDURES#
15.1 Right to Modify Terms
Zain ERP reserves the right to modify these Terms at any time to reflect changes in the law, regulatory requirements, business practices, or for any other reason.
15.2 Notice of Changes
Zain ERP will provide 30 days' advance written notice of material changes to these Terms by:
- Sending an email to the email address associated with your account
- Displaying a prominent notice on the Zain ERP website or within your account dashboard
- Posting the updated Terms with a revised "Last Updated" date on www.zainerp.com
15.3 Acceptance of Modified Terms
Your continued use of Zain ERP after the 30-day notice period shall constitute acceptance of the modified Terms. If you do not agree to the changes, you must cancel your subscription before the modified Terms take effect.
15.4 Material Changes
For material changes (such as significant increases in pricing, reduction of core features, or changes to data ownership), Zain ERP will provide clear, conspicuous notice and afford you an opportunity to cancel your subscription without penalty during the 30-day notice period.
15.5 Changes to Support or Availability
Minor changes to support channels, scheduled maintenance timing, or service availability may be communicated with less notice if operationally necessary.

16.3 Notice Requirements

Zain ERP will respond to formal notices within 15 business days (or as required by law).
16.4 Effective Notice
Notices sent via email to the addresses above will be considered received when sent, provided the sender receives no bounce-back or delivery failure notification.
GENERAL PROVISIONS#
17.1 Entire Agreement
These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Zain ERP regarding your use of the Service. They supersede all prior communications, understandings, or agreements (oral, written, or electronic) regarding the subject matter.
17.2 Severability
If any provision of these Terms is found to be invalid, unenforceable, or in conflict with applicable law by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, shall be severed. The remaining provisions shall remain in full force and effect.
17.3 Waiver
No waiver of any provision of these Terms shall be effective unless in writing and signed by an authorized representative of Zain ERP. Zain ERP's failure to enforce any provision shall not constitute a waiver of that provision or any other provision.
17.4 Headings
Section headings are for reference only and do not affect the meaning or interpretation of these Terms.
17.5 Counterparts
These Terms may be executed in any number of counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.
17.6 Assignment
You may not assign, transfer, or delegate your rights or obligations under these Terms without Zain ERP's prior written consent. Any attempted assignment in violation of this provision is void. Zain ERP may assign these Terms to a successor or acquirer in connection with a merger, acquisition, or sale of assets, with notice to you.
17.7 Independent Contractors
Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Zain ERP. You are an independent customer.
17.8 Third-Party Beneficiaries
These Terms are intended solely for the benefit of you and Zain ERP. No third party has any rights or claims under these Terms except as expressly stated (e.g., references to Paymob in Section 5).
17.9 Force Majeure
Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control (acts of God, natural disasters, war, terrorism, pandemics, government actions, internet infrastructure failures). The affected party shall provide prompt written notice and make reasonable efforts to mitigate the impact.
17.10 Survival
The provisions of Sections 6 (Data Ownership), 7 (Disclaimers), 9 (Intellectual Property), 11 (Limitation of Liability), 12 (Data Retention), 14 (Governing Law), and this Section 17 shall survive termination or expiration of these Terms.
17.11 Language
These Terms are provided in English. Where Zain ERP provides translations into Arabic, Spanish, or other languages for convenience, the English version shall be the controlling and authoritative version in the event of conflicts or ambiguities.
17.12 Definitions
- "Service" means the Zain ERP platform, website, applications, and all related services and features.
- "Customer Data" means all data, information, and content you upload, create, or store within the Service.
- "You" or "Your" means the individual or entity subscribing to the Service.
- "Zain ERP," "We," "Our," or "Us" means Zain ERP Limited and its successors and assigns.
